Overview
A class action lawsuit has been filed against Varonis Systems, Inc. (“Varonis” or the “Company”) (NASDAQ : VRNS) and certain of the Company’s senior executive officers (collectively, “Defendants”) alleging violations of the federal securities laws. The Varonis lawsuit is brought on behalf of all persons and entities who purchased or otherwise acquired Varonis securities between February 4, 2025 and October 28, 2025, inclusive (the “Class Period”). The complaint alleges that during the Class Period, Defendants made false and misleading statements and omissions of material fact regarding Varonis’ annual recurring revenue (“ARR”) and the Company’s ability to convert its existing on-premises customers to a software-as-a-service (“Saas”) offering. In truth, Defendants’ optimistic reports of growth, cost cutting measures, and overall effectiveness of its sales team to convince clients to adopt the Company’s SaaS offering fell short of reality, resulting in reduced ARR growth potential. The complaint further alleges Varonis was not equipped to convince existing customers to convert to the SaaS offering.
The truth was revealed on October 28, 2025, when Varonis announced its financial results for the third quarter of fiscal 2025, disclosing a significant miss to ARR and reducing its projections for the full fiscal year 2025, despite previously uplifting guidance for the previous two consecutive quarters. On this news, the stock price declined from $63.00 per share on October 28, 2025, to $32.34 per share on October 29, 2025.
